Introduction

These Terms of Service ("Terms") govern your use of AI Notetaker For Teams ("Software"), operated by IE Ilia Pirozhenko ("we," "our," or "us"). By accessing or using our Microsoft Teams application, you agree to be bound by these Terms.

If you do not agree with any of these Terms, you must not use the Software. Your continued use of the Software constitutes acceptance of any amendments to these Terms.

Use of Software

You may use AI Notetaker For Teams for lawful purposes in accordance with these Terms. You agree not to:

• Distribute, transfer, sublicense, lease, or sell the Software to third parties
• Use the Software in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems or networks
• Use the Software to transmit harmful, offensive, or illegal content
• Interfere with or disrupt the integrity or performance of the Software

Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring that your use complies with your organization's policies
• Notifying us immediately of any unauthorized use of your account

Intellectual Property Rights

The Software and its original content, features, and functionality are owned by IE Ilia Pirozhenko and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your use of the Software does not grant you any ownership rights to our intellectual property. All rights not expressly granted to you are reserved by us.

User Content

You retain ownership of any notes, data, or content you create using the Software ("User Content"). By using the Software, you grant us a limited license to:

• Store and process your User Content to provide the service
• Generate AI-powered summaries and transcripts as requested
• Back up your data for service reliability

You are responsible for ensuring you have the necessary rights to any content you input into the Software.

Payment and Billing

If applicable, payment processing is handled by our payment processor. By providing payment information, you agree to:

• Provide accurate and complete payment information
• Promptly update account information if it changes
• Authorize us to charge the applicable fees to your payment method

All fees are non-refundable unless otherwise stated. Prices are subject to change with notice.

Service Availability

While we strive to provide uninterrupted service, we do not guarantee that the Software will be available at all times. We may suspend or discontinue the Software temporarily for maintenance, updates, or other operational reasons with or without notice.

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR OPERATE WITHOUT INTERRUPTION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IE ILIA PIROZHENKO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless IE Ilia Pirozhenko and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Software or violation of these Terms.

Termination

We may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Request by law enforcement or government agencies
• Discontinuance or material modification of the Software
• Technical or security issues

Upon termination, your right to use the Software will cease immediately.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which IE Ilia Pirozhenko operates, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved in the competent courts of that jurisdiction.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will notify you through the Software or by other means. Your continued use of the Software after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
